These Terms define the legal and operational boundaries for Ziantrix. The platform assists HRMS workflows, payroll calculation support, employee operations, and AI-assisted routing, but Customers remain responsible for critical HR, payroll, compliance, financial, and employment decisions.
1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of websites, applications, pilot environments, APIs, integrations, documentation, and related services provided by Ziantrix AI Technologies Private Limited ("Ziantrix", "we", "us", or "our").
By accessing or using Ziantrix, creating an account, participating in a pilot, or using the platform on behalf of an organization, you agree to these Terms. If you use Ziantrix on behalf of a company or other organization, you represent that you have authority to bind that organization, and "Customer" means that organization.
Enterprise agreements
If your organization has a signed subscription agreement, data processing agreement, order form, pilot agreement, or other written contract with Ziantrix, that agreement controls where it conflicts with these public Terms.

3. Scope of Services
Ziantrix provides an AI-assisted HRMS and workflow platform for employee operations, onboarding, attendance, leave, document workflows, workflow automation, HR query resolution, payroll calculation support, payroll validation, escalation management, compliance coordination, and operational reporting.
- Employee self-service and HR support workflows.
- AI-assisted knowledge retrieval, summarization, routing, and response drafting.
- Payroll calculation support, discrepancy surfacing, validation workflows, approvals, and audit-ready documentation.
- Onboarding, leave, attendance, document, compliance, and workflow automation capabilities.
- Administrative dashboards, role-based access controls, tenant isolation principles, audit logging, and operational governance mechanisms.
- Customer-configured integrations and notifications, including communication and identity workflows where enabled.
4. Eligibility and Account Responsibilities
The Services are intended for business and organizational use. Customers are responsible for determining who may access the Services, assigning roles, maintaining accurate account information, and ensuring Authorized Users comply with these Terms and applicable customer policies.
- Maintain confidentiality of login credentials and access tokens.
- Use strong internal identity, device, and access-management practices.
- Promptly remove access for users who no longer need it.
- Notify Ziantrix of suspected unauthorized access or misuse.
- Ensure that users access only the data and workflows they are authorized to use.
5. Customer Responsibilities
Customers remain responsible for their HR, payroll, compliance, employee, and operational decisions. Ziantrix provides tools to assist workflows, but Customers decide how the Services are configured, what data is submitted, which outputs are reviewed or approved, and how decisions are made within their organization.
- Obtain all required rights, notices, consents, contracts, and legal bases before submitting Employee Data or Customer Content.
- Configure roles, permissions, approval chains, knowledge sources, workflows, escalation paths, and retention settings appropriately.
- Review payroll, compliance, HR, legal, financial, and employment-related outputs before relying on them.
- Ensure use of the Services complies with employment law, privacy law, payroll law, tax law, labor regulation, and internal policies.
- Maintain downstream systems, records, approvals, filings, and payment execution processes outside Ziantrix where applicable.
6. Acceptable Use Restrictions
Customers and Authorized Users may use the Services only for lawful business purposes and in accordance with these Terms, applicable agreements, documentation, and customer configuration.
- Do not use the Services to violate law, employment rights, privacy rights, intellectual property rights, or contractual obligations.
- Do not attempt to gain unauthorized access to systems, tenants, accounts, data, APIs, or networks.
- Do not interfere with, disrupt, overload, scrape, reverse engineer, probe, scan, or test the Services except as expressly authorized in writing.
- Do not upload malware, harmful code, unlawful content, or content that infringes third-party rights.
- Do not use the Services to make unlawful discriminatory, retaliatory, deceptive, or harmful employment decisions.
- Do not bypass access controls, approval workflows, tenant boundaries, rate limits, security controls, or usage restrictions.
- Do not misrepresent identity, authority, employment status, or organizational affiliation.
7. AI-Assisted Workflow Disclosures
Ziantrix includes AI-assisted features that may help retrieve knowledge, summarize records, classify requests, draft responses, support payroll validation, identify possible anomalies, route work, and assist employee self-service. AI output is generated based on available context and may occasionally be incomplete, outdated, ambiguous, or inaccurate.
- AI-assisted features are assistive, not autonomous final decision-makers.
- Customers should review AI outputs before relying on them for critical HR, payroll, compliance, legal, financial, or employment decisions.
- Customers are responsible for configuring knowledge sources, permissions, escalation paths, and human review requirements.
- Ziantrix does not use Customer Content to train public AI models.

8. Payroll and Operational Limitation Clarifications
Ziantrix may support payroll calculations, payroll validation, payroll readiness workflows, discrepancy detection, reimbursement context, approval routing, and audit documentation. These features are intended to assist Customer review and operational control.
Not a payroll disbursement or banking platform
Ziantrix does not currently execute payroll disbursements, initiate salary payments, move funds, automate bank transfers, hold customer money, provide banking services, or act as a financial institution.
Customers remain responsible for final payroll approval, statutory treatment, tax determinations, filings, employee communications, payroll lock, and payment execution through their chosen payroll, ERP, finance, banking, or payment systems.
9. Human Oversight and Customer Responsibility
Human oversight is expected for critical workflows. Customers should not rely solely on AI-generated or system-suggested outputs for decisions that materially affect employees, compensation, statutory obligations, workplace rights, financial records, or compliance posture.
- Review payroll outputs before downstream execution or filing.
- Review employee-impacting decisions before action is taken.
- Escalate sensitive, uncertain, disputed, or high-impact matters to qualified personnel.
- Maintain appropriate internal policies for AI-assisted HRMS usage.
- Train Authorized Users to treat AI output as assistance rather than unquestioned fact.
10. Data Ownership and Customer Content
As between Ziantrix and Customer, Customer retains ownership of Customer Content. Customer grants Ziantrix the rights necessary to host, process, transmit, display, secure, support, analyze, and otherwise use Customer Content to provide and improve the Services, fulfill agreements, maintain security, troubleshoot issues, and comply with law.
Customer is responsible for the accuracy, quality, legality, and appropriateness of Customer Content. Ziantrix is not responsible for Customer decisions based on incorrect, incomplete, outdated, unauthorized, or unlawfully submitted Customer Content.
11. Intellectual Property Rights
Ziantrix and its licensors retain all rights, title, and interest in the Services, software, documentation, websites, interfaces, designs, workflows, models of operation, templates, know-how, trademarks, logos, and other Ziantrix materials. No rights are granted except as expressly stated in these Terms or a written agreement.
- Customers may use the Services only for their internal business purposes or as otherwise agreed in writing.
- Customers may not copy, modify, reverse engineer, resell, sublicense, or create derivative works from the Services except as legally permitted or expressly authorized.
- Feedback may be used by Ziantrix to improve products and services without obligation, provided Ziantrix does not disclose Customer confidential information in doing so.
- The Ziantrix name, logo, and brand assets may not be used without prior written permission.
12. Privacy and Data Handling References
Ziantrix handles personal data according to applicable agreements, our Privacy Policy, and product configuration. Customer is generally the controller or data fiduciary for Employee Data submitted to the Services, and Ziantrix generally acts as a service provider or processor for that Customer Content unless otherwise stated in a written agreement.
- Customer data protections, access controls, tenant isolation principles, audit logging, and encryption safeguards are described at a high level in our Privacy Policy and Security Overview.
- Customers are responsible for employee notices, privacy disclosures, consents, legal bases, and workforce governance required for their use of the Services.
- Data processing, retention, deletion, export, and subprocessor terms may be governed by separate agreements.
13. Service Availability and Operational Limitations
We aim to provide reliable Services, but we do not guarantee uninterrupted, error-free, or always-available operation unless a written agreement states otherwise. The Services may be affected by maintenance, updates, pilot-stage changes, third-party service issues, customer configuration, internet availability, security events, or factors outside our control.
Ziantrix may modify, improve, limit, or discontinue features over time. We will make reasonable efforts to avoid unnecessary disruption to active customer workflows and to provide notice where required by contract or law.
14. Pilot and Beta Feature Disclaimers
Pilot, beta, preview, evaluation, and early-access features may be incomplete, change frequently, contain errors, have limited support, be subject to usage limits, or be discontinued before general availability. Pilot-stage operations may evolve as the platform matures.
- Pilot and beta features are provided for evaluation unless otherwise agreed in writing.
- Customers should not rely on beta features for critical production workflows without appropriate review and fallback controls.
- Pilot feedback may be used to improve the Services, subject to confidentiality and data protection obligations.
- Pilot participation may be governed by additional agreements or order-specific terms.
15. Third-Party Integrations and Services
The Services may interoperate with third-party systems such as HRIS, identity providers, communication tools, document systems, analytics services, email, messaging, payroll, ERP, or customer-selected applications. Customer is responsible for authorizing integrations and ensuring it has rights to connect, transmit, and process data through those services.
Third-party services are governed by their own terms and policies. Ziantrix is not responsible for third-party services, outages, data handling, changes, or actions outside our control, except as expressly stated in a written agreement.
16. Suspension and Termination Rights
We may suspend or limit access to the Services if we reasonably believe that use of the Services creates security risk, violates these Terms, violates law, threatens the Services or other customers, involves unauthorized access, or may cause material harm. Where appropriate, we will try to provide notice and an opportunity to resolve the issue.
Either party may terminate access according to the applicable written agreement, order form, pilot terms, or these Terms. Upon termination, Customer access may end, and Customer Content may be exported, retained, or deleted according to the applicable agreement, Privacy Policy, legal requirements, backup lifecycle, and security obligations.
17. Warranty Disclaimers
Except as expressly stated in a written agreement, the Services are provided "as is" and "as available." To the maximum extent permitted by law, Ziantrix disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and accuracy of AI-generated or system-suggested outputs.
Ziantrix does not warrant that the Services will meet every Customer requirement, produce legally sufficient outputs, identify every error, prevent every unauthorized action, or replace professional HR, payroll, tax, legal, financial, compliance, or security advice.
18. Limitation of Liability
To the maximum extent permitted by law, Ziantrix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, business interruption, loss of data, or loss arising from Customer configuration, Customer Content, third-party services, or Customer reliance on unreviewed outputs.
Except as otherwise stated in a written agreement, Ziantrix total liability for claims arising out of or relating to the Services or these Terms will not exceed the amounts paid by Customer to Ziantrix for the Services giving rise to the claim during the 12 months before the event giving rise to liability.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above limitations may not apply to the extent prohibited by law.
19. Indemnification
Customer will defend, indemnify, and hold harmless Ziantrix, its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, losses, costs, and expenses arising from Customer Content, Customer use of the Services, Customer breach of these Terms, Customer violation of law, or Customer violation of third-party rights.
Indemnification obligations may be further defined, limited, or replaced by a signed enterprise agreement between Ziantrix and Customer.
20. Governing Law and Dispute Resolution
Unless a signed agreement states otherwise, these Terms are governed by the laws of Telangana, India, without regard to conflict-of-law principles. Courts located in Hyderabad, Telangana, India will have exclusive jurisdiction over disputes arising from these Terms or the Services, subject to any mandatory legal requirements.
The parties should first attempt to resolve disputes in good faith through business and legal contacts before initiating formal proceedings, unless urgent injunctive relief or legal preservation steps are reasonably required.
21. Modifications to Services and Terms
We may update the Services and these Terms from time to time to reflect product changes, legal requirements, operational practices, security needs, or business needs. When we make material changes to these Terms, we will update the "Last updated" date and provide notice where required by law or contract.
Continued use of the Services after updated Terms become effective means Customer accepts the updated Terms. If any provision is found unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

23. Last Updated and Versioning
These Terms may be updated as Ziantrix services, pilot programs, operational practices, or legal requirements evolve. Material updates will be reflected by updating the version or last updated date.
